Introduction and Acceptance

Welcome to Gym Note Plus. These Terms of Service ("Terms") constitute a legally binding agreement between you and Gym Note Plus ("we," "our," or "us") governing your access to and use of our mobile application and related services (collectively, the "Service").

By creating an account, downloading, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

Eligibility

To use our Service, you must:

• Be at least 13 years of age
• Be at least 16 years of age if you are located in the European Economic Area or United Kingdom
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Service under applicable law
• Provide accurate and complete information during registration

If you are under 18, you represent that you have obtained permission from your parent or legal guardian to use the Service.

Description of Service

Gym Note Plus provides a mobile application that:

• Transforms raw workout notes into structured workout logs using AI-powered text processing
• Tracks your workout history and progress over time
• Generates performance statistics and insights
• Helps you plan and organise future workouts
• Allows you to import notes from iPhone Notes, Android Notes, or input directly into the app

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

Account Registration and Security

Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your password
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities under your account

Account Restrictions

• You may only create one account per person
• Accounts are non-transferable
• You may not share your account credentials with others
• You may not create an account on behalf of another person without authorisation

Acceptable Use Policy

Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service solely for personal, non-commercial fitness tracking purposes.

Prohibited Activities

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable laws
• Violate or infringe upon the rights of others, including intellectual property rights
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorised access to any portion of the Service
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Use any automated means (bots, scrapers, crawlers) to access the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove, obscure, or alter any proprietary notices on the Service
• Use the Service to harass, abuse, or harm another person
• Impersonate any person or entity or falsely represent your affiliation
• Resell, lease, or provide commercial hosting services using the Service
• Collect or store personal information about other users

User Content and Data

Your Content

You retain all rights to the workout notes, data, and other content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free licence to use, store, process, and display your User Content solely for the purpose of:

• Providing and improving the Service
• Processing your workout notes through AI services to create structured workout logs
• Generating your workout statistics and insights
• Backing up and securing your data

Content Responsibility

• You are solely responsible for your User Content and the consequences of posting it
• You represent that you own or have the necessary rights to all User Content you submit
• You represent that your User Content does not violate any third-party rights
• We are not responsible for the accuracy, quality, or legality of User Content

Data Processing

Your User Content will be processed through third-party AI services as described in our Privacy Policy. You acknowledge and consent to this processing by using the Service.

Intellectual Property Rights

Our Intellectual Property

The Service, including its original content, features, and functionality, is owned by Gym Note Plus and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

• Our trademarks, logos, and service marks may not be used without our prior written permission
• You may not copy, modify, distribute, or create derivative works of the Service
• All rights not expressly granted to you are reserved by us

Limited Licence

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal, non-commercial use.

Subscription and Payment Terms

Free and Paid Features

The Service may offer both free and paid subscription tiers. Paid features and pricing will be clearly displayed in the app before purchase.

Billing and Payment

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• All fees are in the currency displayed at purchase and are non-refundable except as required by law
• You authorise us to charge your payment method for all fees
• You must provide current, complete, and accurate billing information
• Subscription automatically renews unless cancelled before the renewal date

Price Changes

We may change our subscription fees at any time. We will provide you with advance notice of any price changes, and the changes will apply to subsequent billing periods after notice is provided.

Cancellation

• You may cancel your subscription at any time through the app settings or your app store account
• Cancellation takes effect at the end of the current billing period
• You will retain access to paid features until the end of your billing period
• No refunds will be provided for partial billing periods

Medical Disclaimer

IMPORTANT: The Service is designed for fitness tracking purposes only and is not intended to diagnose, treat, cure, or prevent any disease or medical condition. The Service should not be used as a substitute for professional medical advice, diagnosis, or treatment.

• Stop using the Service and seek medical attention if you experience any adverse health effects
• We are not responsible for any health issues resulting from your use of the Service
• The Service does not provide medical advice or guidance

Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

• We do not warrant that the Service will be uninterrupted, secure, or error-free
• We do not warrant that defects will be corrected or that the Service is free of viruses or harmful components
• We do not guarantee the accuracy, completeness, or reliability of any content or AI-processed data
• We do not warrant that the Service will meet your requirements or expectations

AI Processing Disclaimer

While we strive for accuracy, the AI processing of your workout notes may contain errors or inaccuracies. You are responsible for reviewing and verifying all processed workout data. We are not liable for any errors in AI-generated workout logs or statistics.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GYM NOTE PLUS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Any health issues, injuries, or physical harm resulting from your use of the Service

IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF £100 OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Gym Note Plus and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your User Content
• Any health issues or injuries allegedly resulting from your use of the Service

Term and Termination

Term

These Terms commence when you first access or use the Service and continue until terminated by either party.

Termination by You

• You may terminate your account at any time through the app settings
• Upon termination, your right to use the Service immediately ceases

Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Violation of applicable laws
• Fraudulent or illegal activity
• Request by law enforcement or government agencies
• Extended period of inactivity
• Technical or security concerns

Effect of Termination

• Upon termination, we may delete your account and all associated data
• You should export any User Content you wish to retain before termination
• Provisions that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and indemnification

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.

Informal Resolution

Before filing a claim, you agree to contact us at hello@gymnoteplus.com to attempt to resolve the dispute informally. We will attempt to resolve disputes in good faith.

Jurisdiction

Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in England and Wales, and you irrevocably consent to the jurisdiction of such courts.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Gym Note Plus regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision shall be void.

Third-Party Services

The Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be liable for any damage or loss caused by your use of any third-party services.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or fuel crises.

Changes to These Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms in the app
• Sending an email notification to your registered email address
• Displaying a prominent notice in the app
• Requiring you to accept the updated Terms before continuing to use the Service

Your continued use of the Service after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
